Preamble

The present General Terms and Conditions of Sale (hereinafter referred to as “GTCS”) govern all transactions and services between the Customer and the service provider: the company CARRHURE with capital of €43,000, registered RC 750 516 114 R.C.S. Paris and whose registered office is located at AU 12-14, 12 Rond-point des Champs Elysées-Marcel Dassault, 75008 PARIS.

They apply to all Services rendered by Carrhure to Customers, regardless of any clauses that may appear in Customer documents.

These GCS are accessible at any time on Carrhure’s website and may be transmitted electronically to the Customer at the same time as the detailed quotation, contract or
invoice.

Any order for Services implies the Customer’s unreserved acceptance of these GTS.
The Customer is advised to consult the GCS regularly, as Carrhure reserves the right to modify them at any time without prior notice.

1. Purpose and description of services
Carrhure assists non-profit organizations, NGOs, foundations, and organizations in the international development sector in their recruitment strategy by identifying and selecting
key profiles, as well as verifying the compliance of information provided by candidates.
Carrhure’s services include:
• Proactive search and pre-selection of talent tailored to our clients’ specific needs,
• Matching candidates with qualified professionals,
• Verification of professional and academic backgrounds and references, to ensure reliable recruitment.
The operational modalities and exact scope of each assignment will be subject to prior agreement between the parties.

2. Terms and conditions of service provision
The terms and conditions for the provision of services will be specified in each contract or quotation, according to the specific features of each service.

3. Rates
Services are provided at the rates in force on the day the order is placed, as indicated in the quotation or contract signed by the parties. Rates are inclusive of all taxes (VAT) and include ancillary costs, unless otherwise stated.

4. Terms of payment

4.1. Fixed-term subscription
Payments may be made by bank transfer or any other means agreed between the parties.

4.2. Late payment penalties
In the event of late payment, penalties may be applied in accordance with current regulations, unless the Customer proves that he is not responsible for the delay. In the event of nonpayment, the service provider may suspend performance of the services after formal notice has remained without effect.

5. Intellectual property rights
All content, information and documents provided are the exclusive property of Carrhure or its partners. Any unauthorized use is strictly prohibited.

6. Confidentiality and Data Protection
Carrhure processes personal data in accordance with its privacy policy, available on its website. The Customer has the right to access, rectify and delete personal data, in accordance with the RGPD.

7. Limitation of liability
Carrhure makes every effort to ensure the quality of its services. However, its liability is limited to direct and proven damages resulting from the service, to the exclusion of indirect damages.

8. Legal warranties
The customer benefits from the legal warranties applicable to professional services, in particular with regard to conformity and proper performance of the service, in accordance with the provisions of the common law of obligations (articles 1641 et seq. of the French Civil Code). In the event of a proven failure in the performance of the services, Carrhure undertakes to take the appropriate corrective measures, within the limits of its legal and contractual obligations.

9. Jurisdiction and applicable law
In the event of a dispute, the Customer may have recourse to mediation. Failing amicable resolution, the dispute will be brought before the competent courts in accordance with the applicable rules of civil procedure.

10. Modification of the GCS
CARRHURE reserves the right to modify these GCS at any time. Modifications will be effective as soon as they are published on the website.
