These Terms and Conditions will be provided to the Client alongside the detailed proposal, service contract, or invoice. The Client shall be deemed to have accepted these Terms and Conditions upon:
(a) signing the service agreement; or
(b) commencement of the services; or
(c) making the first payment;
whichever occurs first.
1.0 INTERPRETATION
1.1 In these conditions:
‘Client’ means the person who accepts these Terms and Conditions for the provision of services by CARRHURE.
‘Services’ means the recruitment of personnel and for any consultation services.
‘Candidate’ means a person registered on the CARRHURE database or known or introduced by CARRHURE.
‘Conditions’ means the Standard Terms and Conditions set out in this document and (unless the context otherwise requires) includes any Special Terms and Conditions agreed in writing between the Client and CARRHURE.
‘Contract’ means the Contract for the provision of services by CARRHURE for the client.
1.2 The headings in the Conditions are for convenience only and shall not affect their interpretation.
2.0 BASIS OF THE SALE
2.1 These Terms and Conditions of Business are between CARRHURE Consulting and the Client and are accepted by the Client following commencement of any search or the introduction of an applicant, or presentation of their details, or an interview with, or the engagement of (which term includes employment under a contract of service or the services of, whether by the Client or any associated company of the Client).
2.2 No variation to these Conditions shall be binding unless agreed in writing between the authorized representatives of the Client and CARRHURE Consulting.
2.3 Any typographical, clerical or other error or omission in any literature, quotation, price, list, acceptance of offer, invoice or other document or information issued by CARRHURE Consulting shall be subject to correction without any liability on the part of CARRHURE Consulting.
3.0 FEES PAYABLES
3.1 The acceptance of our proposal for recruitment of personnel or consultation services, or otherwise the instruction by the Client to CARRHURE Consulting to proceed with an assignment, will be taken as acceptance of our terms and conditions.
3.2 Where assignments are supported by a client instructed advertisement, the full cost will be charged to the client and must be paid prior to the appearance in the selected media.
3.3 Psychometric Testing: Full psychometric testing can be arranged through independent consultants. Fees and payment requirements will be agreed on an ad hoc basis.
3.4 Incidental Expenses: Usual travel and out of pocket expenses incurred and any extraordinary expenses will be discussed with clients prior to the expenditure. Payment of candidate expenses (if requested) will be agreed prior to expenditure (wherever practicable).
4.0 PAYMENT TERMS
4.1 Payment upon receipt: Deadline of at least one week, including the time of receipt of the invoice.
Our payment schedule as agreed is in five installments, with the first installment of 21.19047% due and payable upon signature of the engagement letter; 21.19047% due and payable upon submission of Calibration Report; 21.19047% due and payable upon submission of Progress Report No. 1; 21.19047% due and payable upon submission of Progress Report no. 2; and the 15.23809% balance due and payable when a long list is submitted, and shortlist has been selected including delivery of reference checks.
4.2 Late Payment: Late payment will void any guarantees. Legal action will be taken to recover any outstanding monies. In the event of late payment, penalties may be applied in accordance with applicable regulations, unless the Client demonstrates they are not responsible for the delay. In case of non-payment, the service provider may suspend performance of services following an unheeded formal notice.
Services are provided at the rates in effect on the date of order, as specified in the signed quote or contract between the parties. Prices are stated inclusive of all taxes (VAT included) and cover ancillary fees, unless otherwise specified
5.0 INDEMNITY FOR RECOVERY COST
Indemnity for Recovery Cost: A lump sum indemnity of 40 € is due to the creditor for collection costs, on the occasion of any delay in payment. It is applicable only to activities subject to the Commercial Code (not to commercial leases and insurance for example). However, the compensation does not apply if the debtor is in the process of safeguarding, reorganization or compulsory liquidation. This lump sum is added to the late penalties, but is not included in the basis for calculating the penalties.
6.0 WARRANTIES AND GUARANTEES
6.1 Providing a candidate has been placed (appointed) as a result of work carried out by CARRHURE Consulting and other terms of business have been met by the Client; then if the candidate is dismissed for any reason other than redundancy within a 3-month period of the candidate accepting the appointment we shall undertake to seek a replacement with no further fee. Should an alternative candidate be employed during the guarantee period through any other means then the CARRHURE Consulting guarantee will be void. N.B. Notification must be made in writing within seven days of the dismissal.
6.2 Liability
CARRHURE accepts no liability for any:
Loss, damage or delay arising from any failure to provide candidates
Loss of or damage to property or for any loss or injury to persons arising directly or indirectly from any act or omission by any candidate even if such act or omission is negligent, reveals dishonesty, misconduct, shows lack of skills or in any other way.
The client hereby acknowledges that it will not rely upon any statement or representation about an applicant made by or on behalf of CARRHURE Consulting whether orally or in writing and the client will take all reasonable steps to be satisfied (without reliance on CARRHURE Consulting) as to the suitability of an applicant before making any appointment.
CARRHURE makes every effort to ensure the quality of its services. However, its liability shall be limited to direct and proven damages resulting from the service provision, excluding any indirect damages.
The Client benefits from all statutory warranties applicable to professional services, including those regarding compliance and proper performance of the services, in accordance with the provisions of general contract law (Articles 1641 et seq. of the French Civil Code). In the event of proven deficiencies in service delivery, Carrhure undertakes to implement appropriate corrective measures, within the limits of its legal and contractual obligations.
7.0 CONFIDENTIALITY
CARRHURE processes personal data in compliance with the General Data Protection Regulation (GDPR). For more information about the processing operations and to exercise your rights (access, rectification, erasure, etc.), please refer to our Privacy Policy available on our website.
8.0 GENERAL
8.1 No waiver by CARRHURE Consulting of any breach of contract by the client shall be considered as a waiver of any subsequent breach of the same or any other provision.
8.2 If any provision of these conditions is held by any competent authority to be invalid or unenforceable in whole or in part of the validity of the provisions of these conditions and the remainder of the provisions shall not be affected.
8.3 These terms and conditions and any other contacts shall be governed by French law and CARRHURE Consulting and the client agree to submit to the exclusive jurisdiction of the French court, based in Paris.
9.0 PROPRIETARY RIGHTS
All content, information, and documents provided by CARRHURE Consulting are the exclusive property of CARRHURE or its partners. Any unauthorized use is strictly prohibited.
10.0 MODIFICATION OF TERMS
CARRHURE reserves the right to modify these Terms and Conditions at any time. The modifications will be effective upon publication.
